Assuming Penguin would be the primary villain, of course. The same cannot be said for Deadshot. He'll naturally be a secondary character if he's included.

The Penguin is a joke, seriously, the character is fun to see but he wouldn't fit in a gritty Batman Movie at all.

The majority of my Deadshot reading was pre-Gail's Secret Six. Same with Bane (obviously). Exactly, outside Secret Six. Floyd is nothing to write home about. Name one potential good plot with the Penguin. With all the chaos and carnage after the Dark Knight storyline, the city's organized crime is in ruins. There's a big power vacuum. This is the perfect kind of opening situation for Penguin. He was never a physical threat, or one Batman could ever effectively take down with anything close to permanent. And not being insane, gimmicky or driven by anything other then wanting to be rich, influential etc. He always managed to get out of jail quickly. Batman many times couldn't even fight him... Why? Because Cobblepot played his cards right, he was the lesser of two evils. He kept his goons in line from going to far. He was useful and he could be bargained with. I could easily see a plot centering around mundane corruption. The thugs, the foot soldiers, the mid-level bosses. Those batman can go against especially now that all the major bosses are out of the picture. But now there's a new boss in town (maybe Penguin was retired and has returned to fill the vaccum). He's subtle, he doesn't play Batman's game, he uses lawyers, public image, he refuses flamboyant retribution, instead he ruins and exhausts you until you just can't keep going anymore, then he moves his final piece and he goes for the kill. If that doesn't work, no epic battle and final last stand. He surrenders, nods, then calls his lawyers and goes to jail, already having a plan for round two. The movie could then be a lot more mental then the previous ones and it would be awesome, done right.

Replace the word "Penguin" with "Black Mask" and you've got a better story, sir.
Deadshot doesn't need to be a deep or complex character for the film. If he's in it, he'd be a cliche gun for hire with a lack of morals. They wouldn't have time to go into why he pulls his shots on Batman, his turn to becoming an anti-hero, etc. If they need a physical threat for the plot, it APPEARS he might be the selection.
As for Penguin, I haven't seen a single other Batman fan claim to be a fan of the character.

Bullshit, The Penguin is rarely used and for good reason, his whole gimmick is retarded and he just takes all the serious out of the comic when he pops up.

And as I've said, he is far from a legacy character. There's like 10 characters who deserve movie appearances before him. I don't even get why people hold him up so high. He hasn't actually accomplished anything really that impressive, let alone been that spectacular a villain.

Oswald Cobblepott hasn't been like that since the Silver Age. Great White Shark should especially not get in the movie, he's a nobody barely worth mentioning as a member of Batman's rogues.
